NeuralSys Terms of Service / Public Offer

These Terms are a public offer made by, Taxpayer Identification, to legally capable individuals (the User) for access to and use of NeuralSys.

1. Service and scope

1.1. NeuralSys is a software information service available, among other ways, through the Telegram bot @NeuralSys_AI_bot. It provides dialogue, automated processing and structuring of messages, context retention, settings, memory, summaries, and other functions made available in the service.

1.2. The Contractor provides access to NeuralSys under these Terms. The User accepts these Terms through a separate confirmable action in the NeuralSys interface.

1.3. Outputs may be generated automatically using artificial intelligence and may be inaccurate, incomplete, or unsuitable for a particular purpose. The User must independently assess important outputs before relying on them.

1.4. NeuralSys is not a medical, legal, investment, financial, emergency, or other regulated professional service and does not replace an appropriately qualified professional where one is required.

1.5. NeuralSys may use third-party infrastructure, messaging platforms, payment providers, and AI technology providers. Those providers are part of the technical chain used to deliver NeuralSys; the User does not receive their accounts, API credentials, or an independent contractual right to their services through NeuralSys.

2. Formation of the agreement

2.1. The agreement is concluded when the User accepts these Terms in the NeuralSys interface.

2.2. The Privacy Notice is informational and describes how personal data is handled. Where a separate consent is legally required for a specific processing activity, NeuralSys requests that consent separately.

2.3. NeuralSys may restrict functions until mandatory legal actions required for the relevant User have been completed.

3. Points, prices, and payments

3.1. NeuralSys uses an internal accounting unit called points. Points account for the volume of paid NeuralSys functionality available to the User. They are not money, electronic money, digital currency, securities, or an independent means of payment.

3.2. As of this version of the Terms, the following balance top-up packages are available:

  • 40,000 points — 5$ (400 ₽);
  • 100,000 points — 12.5$ (1,000 ₽).

Both packages provide the same access to NeuralSys paid functionality and differ only in the number of points credited to the User's internal balance. For these packages, the purchase ratio is 100 points per RUB 1.

3.3. A package purchase is not a subscription and does not create recurring automatic charges. Points are credited after the payment service confirms successful payment and remain available until used under the NeuralSys tariff rules.

3.4. Purchased points pay for actual use of NeuralSys paid AI functionality, including processing context supplied to the AI model and generating responses. A package does not provide the User with an independent account or right to services of any third-party technology or AI provider.

3.5. The number of points charged for a particular use of NeuralSys is determined by the actual service parameters and the tariff rules in effect at that time. Charges may depend on the selected model or processing mode, the amount of context processed, the amount of generated output, and other technical parameters. The current point balance is available in the NeuralSys interface.

3.6. Before payment, the User is shown the payment amount, currency, number of points to be purchased, and other material transaction terms. Current packages and prices are also displayed in the NeuralSys balance top-up section.

3.7. If the Contractor later changes package composition or pricing, the new terms apply only to new top-up transactions after they have been displayed to the User before payment and do not reduce points already credited to the User's balance.

3.8. Bonus or promotional points provided free of charge cannot be exchanged for money.

4. Cancellation, withdrawal, and refunds

4.1. Refunds and cancellation rights are determined by these Terms together with mandatory law applicable to the particular User and transaction.

4.2. A User may request a refund of an unused paid balance. The Contractor may deduct the value of services already supplied where permitted by applicable law. Free, bonus, and promotional points are not treated as amounts paid by the User.

4.3. Refund requests should be sent to neuralsys@mail.ru and contain enough information to identify the NeuralSys account and payment.

4.4. Refunds are made using a method permitted by applicable law and the payment provider's rules.

4.5. Nothing in these Terms excludes a mandatory cancellation, withdrawal, refund, conformity, or other consumer right that cannot lawfully be waived under the law applicable to the User. For consumers in the European Economic Area, mandatory consumer protections under applicable EU and national law remain unaffected. For consumers in the United Kingdom, mandatory protections under applicable UK consumer law remain unaffected.

5. Rules of use

5.1. The User must use NeuralSys lawfully and must respect third-party rights, information-security requirements, and the rules of platforms through which NeuralSys is accessed.

5.2. Unauthorized access, circumvention of technical restrictions, interference with the service, fraudulent use, abusive automation, and use of another person's account without lawful authority are prohibited.

5.3. The Contractor may restrict or terminate access where reasonably necessary because of a breach of these Terms, security risk, fraud, technical necessity, platform restriction, or legal requirement. This does not remove mandatory rights relating to paid but unprovided services.

6. Availability and changes

6.1. The Contractor seeks to keep NeuralSys available but does not guarantee uninterrupted operation. Outages may result from maintenance, Telegram, communications networks, infrastructure, technology providers, payment providers, or other dependencies.

6.2. The Contractor may change technical implementation, providers, available models, interface, and functions, subject to obligations already owed to Users and mandatory law.

6.3. If a paid operation is not actually supplied because of a technical error, the related charge must be reversed, refunded, or otherwise corrected in the NeuralSys billing system as appropriate.

7. Intellectual property and User content

7.1. Rights in NeuralSys software, design, branding, service structure, and other protected materials belong to their respective right holders.

7.2. The User retains rights in materials lawfully belonging to the User and grants the permissions technically necessary to process those materials for the purpose of providing NeuralSys.

7.3. The User is responsible for having a lawful basis to submit personal data, confidential information, copyrighted material, or other third-party content to NeuralSys.

8. Privacy and data protection

8.1. Information about processing of personal data is provided in the Privacy Notice at https://neuralsys.ru/en/legal/privacy.

8.2. Where NeuralSys relies on consent for a particular processing activity, the applicable consent/acknowledgement is available at https://neuralsys.ru/en/legal/personal-data-consent and is requested separately.

8.3. Depending on the User's location and the processing concerned, mandatory data-protection rules may include Regulation (EU) 2016/679 (EU GDPR), the UK GDPR and Data Protection Act 2018, and other applicable national privacy laws. The Privacy Notice explains the intended legal bases and the limits of this statement.

9. Liability

9.1. Liability is determined by the law applicable to the relevant relationship and by mandatory rules that cannot be excluded by contract.

9.2. The Contractor does not guarantee that use of NeuralSys will produce any particular personal, professional, financial, commercial, or other result.

9.3. The Contractor is not responsible for a User's decision to rely on automatically generated output without reasonable independent verification, except to the extent liability cannot lawfully be excluded or limited.

9.4. To the maximum extent permitted by applicable law, the Contractor is not liable for direct or indirect losses, loss of profit, or other adverse consequences resulting from use of or inability to use NeuralSys, acts or omissions of third parties, temporary technical failures, or the User's application of service output.

9.5. Nothing in these Terms excludes or limits liability or consumer remedies where such exclusion or limitation is prohibited by applicable law.

10. Changes to these Terms

10.1. The Contractor may update these Terms. The current version is published by NeuralSys with its version date or identifier.

10.2. If a change materially affects the contractual relationship, NeuralSys may require renewed acceptance before further use.

10.3. A change does not retrospectively remove rights that already arose under mandatory law.

11. Governing law and mandatory local rights

11.1. The Contractor is established in the Russian Federation. Subject to clause 11.2, these Terms and the agreement are governed by the laws of the Russian Federation.

11.2. If the User is a consumer, the choice of Russian law does not deprive the User of protection afforded by mandatory provisions of the law that would apply in the absence of that choice, including mandatory consumer protections that may apply in the User's country of habitual residence.

11.3. Any jurisdiction or dispute-resolution provision is subject to mandatory rules applicable to consumers. Nothing in these Terms requires a consumer to waive a forum or remedy that applicable mandatory law gives them.

12.3. These English Terms are intended for international Users. They do not claim that one legal regime applies identically in every country; mandatory local law applies where it has overriding effect.
